Welcome to our website www.duruper.com (the “Platform”). The Platform is owned and operated by Duru Cooperation Private Limited, a company registered under the Indian Companies Act, 2013, having its registered address at No. 23, 2nd Floor, 1st Main Road, MCHS, Jakkur Layout, Jakkur, Bengaluru, Karnataka 560064, India (hereinafter referred to as “Duruper” or “we” or “us” or “our”).
We are a recruiting agent, licensed by the Ministry of External Affairs, Government of India. We try our best to connect you with recruiters or Candidates, as the case may be, and to support you in career enhancement services.
This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable. This electronic record is generated by a computer system and does not require any physical or digital signatures.

1. Applicability of these Terms of Use
1.1
These terms and conditions of use (“Terms”) govern the use of our Platform by all users of the Platform, including those who are just browsing, Candidates, Employers (both terms as defined below), those who use any functionality on our Platform, our Partners (as defined below) or those who avail any other service on the Platform or Employer Representatives or any other person who is in any manner connected with and/or contributes to the use of the Platform and/or the services provided through it (“Users” or “you” or “your” or “Members”). These Terms are to be read concurrently with our Privacy Policy and other policies and other notices as may be made available to you from time to time.
1.2
These Terms constitute a legal agreement between you, as the User of the Platform, and us. The Terms explain how you are permitted to use the Platform and the Services (as defined below). By using this Platform or the Services, you are agreeing to all of these Terms. If you do not agree with any of these terms, do not access or otherwise use the Platform, any of the Services, or any information or materials contained within the Platform. If you are using the Platform for your company’s use, you represent that you are an authorized representative who has the authority to legally bind your company to these Terms. These Terms include our Privacy Policy and/or other policies which are incorporated herein by its reference.
2. Modifications to the Terms
2.1
Duruper reserves the right, at its sole discretion, to change, amend, modify, vary, add or remove any content, features of the Platform and services including the provisions of these Terms (“Revisions”) at any time without any prior notice or any obligation to inform you and it is your responsibility to regularly check for any Revisions, from time to time. The revised/updated Terms shall be made available on the Platform and your continued use of the Platform following such Revisions will mean that you accept and agree to the Revisions. If you do not agree with any of the updated Terms, you must stop using the Platform and the Services.
3. Who can use the Platform?
3.1
Use of the Platform is available only to persons who can form legally binding contracts under the applicable law. You must be at least eighteen (18) years of age or the age of majority in the jurisdiction in which you reside to use the Services so that you can form a binding contract with Duruper. By visiting the Platform and/or accepting these Terms, you represent and warrant that you are competent to contract and that you have the right, authority and capacity to use the Platform and that you will use it only in full compliance with applicable laws.
3.2
Persons who are “incompetent to contract” within the meaning of Indian Contract Act, 1872 including but not limited to persons of unsound mind, minors or undischarged insolvents, etc. are not eligible to use this Platform.
3.3
We reserve the right to terminate your registration/membership and/or refuse to provide you with access to the Platform or provision of any Services, at our sole discretion without any reasons whatsoever, in case you are ineligible or incompetent to contract or have otherwise violated the Terms.
3.4
You may not be entitled to the Services if your use of the Services has been previously terminated or suspended by Duruper, unless we have provided you with specific written authorization to re-use the Services.
4. Services we provide on the Platform
4.1
Our global recruitment Platform intends as a medium of contact and exchange of information related to existing job vacancies within India or abroad, in various industries such as Oil & Gas Industry, Petro-Chemicals Industry, Construction Industry, Information Technology Industry, etc. between Users who are registered on the Platform for seeking jobs (“Candidates”), entities looking to recruit suitable candidates for their organisation (“Employers”). We also provide, either independently or together with our Partners (defined below) and specialized team of Duruper (“Duru Recruiters”), other additional services tailored for each industry which enhance and/or compliments our recruitment related services. In general, Duruper’s Services enable the Members to apply for jobs, search for suitable jobs at required locations and Employers to post job requirements or opportunities within or outside India (“Job Postings”), search or identify and connect to Candidate through Duruper in the employment market in India and abroad. We also partner with persons and entities who provide ancillary and facilitation services in connection with domestic and overseas employment such as trade testing and certification, emigration clearance, visa application, travel bookings, insurance and stamping, medical clearance, document attestation, police clearance, etc., (each of whom shall be referred to as a “Partner”).
4.2
Duruper may provide the following Services on the Platform:
- upload Job Postings;
- find Candidates for Employers;
- review Candidates’ resume and profiles;
- collect and filter Candidate applications;
- contact Members for suitable Job Postings; and/or
- other Additional Services to facilitate finalization of recruitment,
(collectively the “Services”).
As we constantly develop our Services, the range of Services available may vary from time to time, be modified, replaced, or may be temporarily unavailable or discontinued, at any time and at our sole discretion.
4.3 Services for Candidates
4.3.1
Users who wish to apply for Job Postings on the Platform are required to register with the Platform. Upon registration on the Platform in accordance with the Terms, users can build a profile by providing mandatory details like personal details, educational qualification, professional details, job history, uploading copy of resume and such other details as are necessary for user profile creation. Hence, it is important to invest the time and effort to make sure it’s detailed, accurate and optimized for your career advancement. You hereby acknowledge and agree that any job, the details of which you view on and/or apply for through our Platform shall be processed only through Duruper and you may not directly contact the Employer, till your placement with an Employer company is secured in writing by the Employer company. As a registered user, you may:
- upload your resume or CV, certifications and such other documents and information relating to your employability, experience, employment status and preferences for viewing by other users like Employers;
- use the Services to search for jobs;
- apply for jobs;
- receive job alert mails or text messages, where such features are available to you; and/or;
- include your resume and other applicable information in a resume database (“Resume Database”); and/or
- have an option to share links of Job Postings through other social media pages.
4.3.2
Once you, as a Candidate create the Resume Database:
- your resume/CV and profile information (including your personal information, to the extent provided in your resume or profile) will be available to be searched, viewed, or downloaded by any person or entities that have access rights to the Resume Database;
- your resume/CV will be visible in whole or in part via search results within the Resume Database; and
- your resume/CV and the applicable profile information will be visible to Employers with active Job Postings matching with your Resume Database.
4.3.3
If you create a Resume Database, then you are:
- Consenting to match words, skills, or certifications that are present or implied in your resume or other application materials to words, skills, or certifications present or implied in a Job Postings or an Employer’s search of ‘key words’.
- Consenting to present part or full of your Resume Database to the applicable Employer and to send information to you about Job Postings that may be of interest to you.
- Acknowledging that we may 'parse' the resume and other applicable information into another format to create a profile view and/or enable searchable text for an Employer.
4.3.4
Once you've created your profile and Resume Database you can use it to apply to open Job Postings through our Platform depending on your Membership. Upon application, Duru Recruiters will review your Resume Database and reach out to you if your Resume Database matches the job description or requirement of the applicable Employer. Duru Recruiters may approach you directly without you applying for a Job Posting in the event your Resume Database matches any Job Postings. Duru Recruiters shall act as a facilitator between you and the Employers and will conduct an initial customized screening of your resume to ascertain the suitability of your profile for the Job Posting you have applied for or you are shortlisted for. Any job you applied for shall be processed through Duru Recruiters only.
4.3.5
Candidates who are qualified in the initial screening process done by the Duru Recruiters shall be selected for the first-round interview. Duru Recruiters shall arrange for such an interview at the convenience of the Candidate and Employer concerned. Candidate shall undergo such assessments, interviews and tests in relation to the job applied for and which may vary by industry and Employers' requirements and processes. The interviews may be online or in-person. Duruper may conduct online interviews through web platforms like Microsoft Teams, Zoom, Skype etc. In-person interviews may also be conducted at the location designated by the Duru Recruiters or the Employer. Any Candidate who has not turned up for interview call made by Duruper or Employer for 3 times, shall lose their paid Membership and shall become a restricted Member (“Restricted Member”) of the Platform upon such notice issued by Duruper. A Restricted Member shall not be able to apply for any jobs on the Platform, unless the restriction is removed, at the sole discretion of Duruper. You may contact us at support@duruper.com if you have been made a Restricted Member and have a cogent reason for missing interviews fixed in consultation with Duruper and Duruper may remove your status as Restricted Member if the interviews were absconded by the Candidate due to unavoidable reasons, and Duruper's decision on such removal of restriction shall be final and binding on the Member concerned.
4.3.6
Candidates selected by Duru Recruiters through the above process shall be connected to the Employers for further screening and interview by the Employers through Duru Recruiters. Employers will also conduct the interview either online or in-person at the locations designated by the Employers. Any Candidate who has not attended interviews scheduled by Duru Team or Employer shall be given a notice by the Duru team. Upon receipt of 3rd notice from Duruper indicating failure of the Candidate in appearing for 3 different interviews scheduled by Duru Recruiters or Employer, Duruper shall cancel the paid Membership of the Candidate who shall then become a Restricted Member of the Platform. A successful Candidate selected by the Employers shall be offered employment with the Employer company. The offer letter so provided by the Employers shall be shared with the Candidate through the Duru Recruiters. Upon getting the offer letter from the Employer, Placement Fee (Please refer to clause 6.3 for details) shall be applicable on the employed Candidate depending on the Membership of the Candidate. Candidate is expected to pay the applicable Placement Fee within 7 days from receipt of invoice from Duruper. Candidate may, at his option, also avail any of the additional services required for employment with the Employer, if such additional services are provided by Duruper, upon payment of applicable fees. In the event an Employer cancels the job offer placed to a Candidate from whom Placement Fee is received by Duruper, such Placement Fee shall be repaid to the Candidate within 14 days from date of job offer cancellation intimation received by Duruper. In the event Candidate cancels a job offer, Placement Fee shall not be refunded by Duruper.
4.3.7
Candidate understands and acknowledges that accepting a job offer of an Employer shall be at the sole risk and responsibility of the Candidate and Duruper shall only be a medium of contact for Candidate with the Employer entity only in terms of Job Postings concerned. It shall be the sole responsibility of Candidate to review the Employer entity and take a decision on accepting the job offer issued by an Employer.
4.4 Services for Employers
4.4.1
Employers who wish to avail the Services of Duruper shall register with Duruper as per the process prescribed by Duruper from time to time. Please refer to the section Registration of Users for further details on registration.
4.4.2
Employers who are registered on the Platform in accordance with the Terms can use the Services to:
- search for prospective employees or Candidates;
- view resumes, profiles, or curriculum vitae of the Candidate pool created and shared by Duru Recruiters; and/or
- post and/or distribute job advertisements on behalf of the Employers;
4.4.3
For every manpower requirement that an Employer has, Employer has to submit details of the job like location, title, roles and responsibilities, etc (“Job Description”). Duru Recruiters shall undertake the process of reviewing the job description provided by the Employers and make necessary changes, if required and publishing the jobs on the Platform based on the information given by the Employer. Once a Job Description is shared with Duru Recruiters, Duru Recruiters shall assist in vetting the Job Description in such a way that the best possible Candidates apply for the job and such modified job description is then published on the Platform as a Job Posting. Upon receipt of applications by Candidates based on the Job Postings, Duru Recruiters will review the Resume Database of the Candidates and conduct the first technical interview of the Candidates to ensure compatibility and suitability of the Candidates for specific Job Postings of the Employers.
4.4.4
As an Employer, you can also review CVs and other documents uploaded by those Candidates who have applied for the Job Postings related to the Employer entity. An Employer shall not be able to review CVs of all Members and access to CVs shall be restricted to Candidates who applied for the Employer's Job Postings. However, an Employer shall also be able to invite a Member or a non-Member who has not applied for the specific Job Posting, to apply for the Job Posting through the Platform. A non-Member will receive the link to the Platform and shall have to follow the registration process to apply for the Job Posting. You hereby accept and acknowledge that the process of employment of a suitable Candidate chosen from this Platform must be done only through Duruper and you shall not contact any Candidate directly without prior written permission from Duruper.
4.4.5
Duruper will share the final Candidate pool with the Employer upon reviewing the Resume Database and conducting technical interviews of applied or suitable Candidates. The Employer may then conduct their interview process and screening of the Candidate with respect to the Job Posting concerned. All contact with the final Candidate pool shared by Duruper for further processing of the Candidate for the applicable Job Posting shall be done exclusively through Duruper.
4.4.6
Once the Employer confirms the recruitment of a Candidate from the Candidate pool shared by Duruper after interviewing and screening process etc., the Employer should send the offer letter first to Duruper for further communication with the Candidate. On issue of offer letter by the Employer, Duruper will communicate the same to the Candidate and send an e-mail to the Client to his registered e-mail ID with Duruper to complete onboarding formalities. Further Duruper shall also, at the written request of the Employer, co-ordinate document support and other assistance that Employer requires till the joining of the Candidate with the Employer entity, upon payment of applicable fee as prescribed by Duruper from time to time. Duruper shall raise an invoice to the Employer in accordance with the terms of the Recruitment Service Agreement as per such terms contained in the Recruitment Service Agreement. The Employer shall make the payment of such invoice within such time as agreed in the Recruitment Service Agreement.
4.4.7
In the event the Employer wishes to delete a Job Posting or keep a Job Posting on hold, Employer can inform the requirement to Duruper through hr@duruper.com and we shall make the necessary modification on the Job Postings to indicate the change in status of the Job Posting.
4.4.8
Please refer to the Specific Terms applicable to the Employers as set out in Section 21 of this Terms.
4.5 Additional Services provided by Duruper
4.5.1
Duruper shall facilitate onboarding of the Candidate to the Employer entity by providing additional services like trade testing & certification, visa application and stamping, medical clearance, document attestation, police clearance, emigration clearance, employee verification services etc. (“Additional Services”). Duruper may, at the written request of either the Candidate or the Employer provide such Additional Services on a stand-alone basis as per these Terms and payment of applicable fees. Fees for such Additional Services shall be communicated by Duru Recruiter from time to time. Payment for Additional Services may be done by Candidate/Employer through any online mode of payment available on the Platform as per applicable terms. Additional Services shall be added, modified, cancelled or suspended at the sole discretion of Duruper. All payments for Additional Services shall be paid by the Employer or Candidate, at whose request such service is being provided by Duruper in advance and in accordance with the invoice raised by Duruper for such Additional Service.
4.5.2
If you are a Partner, in addition to these Terms (to the extent the same are applicable to you), the terms and conditions of your partnership/collaboration with us will be governed by a Partnership agreement and such other documents that Duruper puts in place from time to time as per its business requirements.
5. Registration of Users
5.1
As a User of our Platform and Services, we seek your Personal Data in order to activate your User account, provide you with Services, provide you with a safe, efficient, smooth and customized experience on the Platform, communicate with you about the status of your account and for various other purposes set out in this Privacy Policy. The Personal Data you provide to us such as your name, company name, address, telephone number, email address and certain other information will be used to create a User name and private password, which will become part of your account information on the Platform. By providing such Personal Data to us and by availing our Services, you voluntarily consent to the collection, use and disclosure of such personal information as specified in this Privacy Policy. The legal basis of processing your Personal Data is to provide you with our Services.
5.2
Any entity who wishes to register with Duruper as an Employer may contact Duruper at info@duruper.com and share the details for registration which includes Employer entity name, incorporation or registration details, tax incorporation details, details of the employees/authorized representative of the Employer entity who are to access the Platform on behalf of the Employer (“Employer Representative”), short code, city, state, country and Industry or any other details as applicable from time to time. Upon receipt of required details of the Employer, Duruper shall verify the details and shall have the right to approve or reject the requested registration. Upon satisfactory verification of details shared by the Employer entity, Duru Recruiters will share a template of the contract to be executed with the authorized representative of the Employer and Duruper (“Recruitment Service Agreement”). Execution of Recruitment Service Agreement with Duruper is mandatory for creating an Employer profile on the Platform. After execution of the Recruitment Service Contract with Duruper, and submission of other requisite documents as applicable for provision of Services, Duru Recruiters will create an Employer profile on the Platform thereby enabling the Employer Representative, whose details are shared with Duruper, to access the Employer profile and avail services of Duruper through the Platform. The Employer Representative shall then receive ‘invites’ through hyperlinks from Duruper. By accessing such hyperlinks, Employer Representatives shall be able to access the Employer profile and create specific passwords for accessing the Platform as Employer Representative. Employer Representatives shall be the only users who can send Job Descriptions to Duru Recruiters for review and publishing on the Platform.
5.3
You shall be responsible for maintaining the confidentiality of the account information, profile and passwords, as applicable and to prevent unauthorized access to your account as you shall be fully responsible for all activities that occur through your account. You shall:
- register in your own name only and all account information provided by you shall be accurate, complete and up-to-date;
- not pass yourself off as someone else or create multiple and/or false accounts;
- not share your password or other account access information with any other party, temporarily or permanently and you shall be responsible for all uses of your Platform registrations and passwords, whether or not authorized by you;
- not let others access or use your password or do anything else that might jeopardize the security of your Password; and/or
- immediately notify Us at support@duruper.com of any unauthorized use of your account or any breach of security in relation to the Platform.
5.4
Upon registration with us as a Candidate, you will have the option to opt for the Duruper Memberships (see “Memberships” section below for more information). Once you have registered, your username and password can be used on the Platform. Please note that the Services available to you may also vary depending upon your Membership level.
5.5
Please see our Privacy Policy for further details regarding the information and data you upload on the Platform and what we do with it. By filling out the details in the registration form and/or uploading any documents or sharing additional information, you are authorizing Duruper and granting us a free, worldwide, uninterrupted and non-exclusive right and license to use and publish this information/documents to Employers or Candidate as the case may be, who are registered on the Platform. You can update or delete any of the information at any time. It is your responsibility as a Candidate to ensure that your CV, credentials and contact details are kept up to date.
5.6
As a Candidate, the information you provide should be accurate and describe you, an individual person and you shall be solely responsible for the form, content and accuracy of any CV or material therein uploaded by you on the Platform. Once your profile and/or CV are in our database, we will contact you periodically by email.
5.7
References to "resume" or "CV" as used herein, will include curriculum vitae, profile, references, recommendations, and other similar written overviews or assessments of a person's experience and qualifications.
6. Memberships and Renewals
6.1
By registering for an account with Duruper, a Member shall have access to certain password-restricted areas of the Platform and certain Services offered on and through the Platform (a “Membership”). Each Membership, and the rights and privileges provided to a Member, is personal and non-transferable. All sales and payments of Membership fees will be in INR and through our Payment Partner (as defined below).
6.2
We offer different Membership options.. Memberships are categorised as Basic, Standard and Premium Memberships. A Basic Membership is free of charge without any Membership Fee. Fees for Standard and Premium Memberships shall be as indicated in our Platform and Candidates who pay for Premium Membership shall become a Premium Member, Candidates who pay for Standard Membership shall become a Standard Member and Candidates who are not part of any Membership, but has only registered on the Platform shall become Basic Members. Standard and Premium Memberships have a validity of 3 years (“Membership Term”) and Basic Membership has a lifetime validity. All Job Postings shall be visible to all Candidates irrespective of the Membership you have availed of. A Candidate who joined under Basic or Standard category can upgrade to Standard or Premium subject to payment of applicable Membership fees. All Candidates can view and apply for any Job Postings available on the Platform, both domestic and overseas. Membership fees are available on the Platform at Duruper Membership plan page.
6.3
Some features and services may vary depending on your selected Membership type. A Premium Member can apply to any number of Job Postings available in India or outside India and no fee or charges for placement (“Placement Fee”) are applicable to Premium Member when he receives a job offer from any Employer. A Standard Member need not pay any Placement Fee if the Candidate receives a domestic job offer from an Indian Employer in the Platform. However, Placement Fee, as applicable, shall be payable by a Standard Member for any overseas job offers received by the Candidate. A Basic Member is required to pay applicable Placement Fee for any job offer received through the Platform. A Basic Member may also upgrade his Membership to either Standard or Premium (for value) at any time. However, if a Basic Member or a Standard Member (as the case may be) applied for a Job Posting through the Platform while he was a Basic Member or Standard Member, the Placement Fee, as applicable shall be payable by such Member irrespective of upgrading the Membership upon receiving a job offer from the Platform. Only a Premium Member who applied for a Job Posting while he is a Premium Member shall have the privilege of not paying any Placement Fee upon receiving a job offer from the Platform, whether domestic or overseas. Duruper reserves the right to change prices for Memberships, at any time and does not provide price protection or refunds in the event of promotions or price decreases. We may offer promotional, discount, or other limited term offers such as rewards and referrals. Such offers are subject to these Terms and may be subject to additional terms disclosed at the time of the offer. In the event of a conflict between these Terms and the terms of such an offer, the offer-specific terms govern with respect to such offers.
6.4
Fee for Membership shall be paid online through the Platform and payment shall be paid upon applying for such Membership on the Platform Once you are charged the Membership fee and after we have processed your order for your Membership, you will receive a confirmation e-mail notifying you of your confirmation of Membership and your access to those Membership-specific privileges on the Platform.
6.5
You will be liable for paying any and all applicable taxes for the purchase of your Membership based on the mailing address that you provide when you register as a Member, and you authorize Duruper to charge you for any such applicable taxes. Duruper reserves the right to modify fees for Membership or any other services at any time (but not the price in effect for your then-current Membership term) at its sole discretion.
6.6
Membership Plans you have chosen will be renewed automatically for a further Membership Term, if so authorised by you, by agreeing to the automatic renewal of your Membership Plan during the initial registration process, unless you notify Duruper of any changes or requests not to renew or cancel, before the end of the Membership Term. Memberships once taken cannot be canceled nor will there be any refunds of Memberships. At the time of automatic renewal, the applicable Membership fees will be charged to the payment method provided and/or associated with your user profile. In the event Candidate opts for manual renewal of the Membership, a notice of intimation regarding expiry of Membership shall be sent to the Candidate. You are advised to renew your Membership, upon expiry of your Membership Term after logging into your account paying the applicable fees. The sooner you renew, the better it is for you to avail of our uninterrupted Services and specific promotional plans applicable for Members which may be launched by Duruper from time to time.
7. Fees for Additional Services
7.1
Apart from paying the applicable fee for Membership Services provided by Duruper, Additional Services availed from us may be subject to such fee as applicable (“Fee”). Fee payment may be made through such modes of payment available through our payment gateway. All payment related Services shall only be available to the Users upon making the applicable payment of Fee fully in advance. Fees for Additional Services provided by Duruper at the option of User shall be intimated to the Users by Duruper upon written confirmation of requirement of such Additional Service. Payment for Additional Service shall be made upfront and within 7 days from raising of an invoice for such Additional Service by Duruper.
7.2
We reserve the right to charge for some of the Services offered on our Platform at any time in the future which are presently free and the access to such paid Services would be available to Users upon payment of the requisite fees for the same as published on the Platform. If you elect to use paid services (as and when they become so chargeable), the pricing, payment and billing policies posted on the Platform shall apply to those paid services.
7.3
Duruper does not permit and has not authorized any individual or firm or company or any other organization to collect any fee/charges whatsoever either for accessing the Platform or for posting/searching resumes or for searching for Job Postings.
7.4
We may add new services for additional fees and charges, or amend fees and charges for Additional Services, at any time at our discretion. All charges for paid services are subject to change without prior notice and do not include applicable taxes or duties, which will be charged additionally.
7.5
Duruper does not accept payment forms other than those specified on the applicable payment screen. However, User agrees to make all payments to Duruper through the Payment Partner and additional charges for Userʼs selected payment instrument shall be applicable to the User for any such payments as prescribed by the terms and conditions of Payment Partner. We reserve the right to charge additional fees and service charges on an ‘as isʼ basis for the Services.
7.6
The payment for Service (including for any Additional Service) once subscribed to by the User is not refundable and any amount paid shall stand appropriated. Further Fees paid to Duruper for any Service (including Additional Service) shall be exclusive of all taxes, cess, levies, GST but shall be subject to withholding taxes, which shall be payable by the User additionally as indicated.
7.7
User acknowledges and agrees that Duruper, at its sole discretion and without prejudice to other rights and remedies that it may have under the applicable laws, shall be entitled to set off the amount paid or payable by a User against any amount(s) payable by User to us under any other agreement or commercial relationship towards other Services.
7.8
If you are making any payments on the Platform or on external websites that you accessed through the Platform, you will be solely responsible for the security and confidentiality of your payment methods. Please note that in order to make any payment for paid services offered on the Platform, you will be re-directed to the payment gateway providerʼs site from our Platform and the terms of use and privacy policy of such payment gateway will be applicable to your personal data collected by them for processing your payment and Duruper shall not be responsible or liable for any data that you may share with the payment gateway provider for the said purpose.
7.9
Payments shall not be made by Users to other Users and if made, shall be at the sole risk and responsibility of the User who made the payment.
8. Reward and Referral Schemes
8.1
Duruper Reward Scheme: When a Candidate is employed with an Employer through Duruper, Duruper offers the successful Candidate a reward at his/her option. The reward can be a specific amount in INR which Duruper stipulates from time to time, (excluding the applicable tax) and/or such other amounts or credits points or any benefits as notified by Duruper from time to time (“Reward”). Reward is applicable only to:
- A Standard Member who got hired for a domestic job or overseas job (provided Placement Fee for overseas job is paid by the Standard Member); or
- A Premium Member who got hired for a domestic or overseas job
8.2
Any Membership obtained from Duruper by its users is valid for the Membership Term. However the features/Services we provided on the Platform may vary for each Membership. In case, any Candidate, avails of the Reward, your Membership on Duruper shall be reset to Basic Membership. Only those Candidates who have completed 90 days with an Employer through the Platform shall be eligible to avail the Reward. Upon completion of 90 days from the date of joining of a Candidate through the Platform, Duruper shall confirm with the Employer whether the Candidate has completed 90 days with the Employer organization and upon receiving such confirmation from the Employer, shall send a payout link to the registered e-mail ID of the Candidate. . The Candidate may, if it wishes to avail of the Reward, fill in the required details by visiting the payout link and the Reward shall be credited to the account of the Candidate within 7 days of confirmation of payment details by the Candidate. Upon applying for the Reward, it is deemed that the successful Candidate has agreed to become a Basic Member of Duruper for his/her then existing Membership. All payments made by Duruper shall be in INR only.
8.3
Duruper Referral Scheme: Duruper may also give incentives to its Members for referring another Candidate to become a Standard Member or Premium Member of the Platform. At the time of availing of Membership of Duruper, you will be provided with a unique referral code. You, being an existing User on the Platform(“Referrer”) can participate in the Duruper Referral Scheme by referring your friends and family to become a Member on this Platform, by sharing your referral code with your friends. If your friend, who is not an existing Candidate on this Platform (“Referee”) becomes a voluntary Member on this Platform through your reference using the referral code, and paid the applicable Membership fees either for Standard Membership or Premium Membership of the Platform, you as Referrer will get cash points of such percentage of Membership fee as Duruper may prescribe from time to time (“Cash Points”) paid by the Referee. One cash point is equal to INR 1/-. Candidates may request for redeeming the Cash Points at any time by clicking the ‘redeem cash pointsʼ option available on the Platform. Upon such request by the Referee, we will share a payout link to the Referee for Referee to verify his identity, provide bank account details and confirm the details etc. The Referrer may fill in the required details and the cash equivalent to the Cash Points shall be credited to the account of the Referrer within 7] days of confirmation of payment details by the Referrer. All payments made by Duruper shall be in INR only. The nature and value of Cash Points to be credited will be based on the Referral scheme offered by Duruper and it may change from time to time.
8.4
Rewards and Referral Schemes may not be available at all times on the Platform and may or may not be launched as per the sole discretion of Duruper. The decision of Duruper shall be final and binding in case of any disputes in relation to such schemes offered by Duruper.
8.5
Duruper reserves the right to launch, amend or cancel any Reward or Referral Scheme in whole or part or replace any such scheme with a new or modified scheme at any time as well as any Memberʼs, Referrer or Referee's ability to participate in any Reward or Referral program or receive Rewards or Cash Points at any time for any reason, including suspected fraud (including by either the Member, Referrer and/or Referee), abuse, or any violation of these Terms. If Duruper cancels any Reward or Referral program/amends any program, any unused or unredeemed Rewards or Cash Points may be forfeited at that time, provided we give you 14 days of notice to use or redeem the same before cancellation.
8.6
Duruper may update these Terms, even with respect to Rewards or Referral scheme at any time. If Duruper makes an update, Duruper will post the update on the Platform and provide you notice of the update. Continued participation in any Reward or Referral program after any update will mean that you have agreed to the update.
9. Terms of Payment through the Platform
9.1
The approved payment methods to pay the Membership fee or purchase of Additional Services or any other applicable Fee on the Platform are with net banking, domestic and international credit and debit cards, UPI and other set of payment methods managed by our payment gateway partner Razorpay (“Payment Partner”). We may add or change our Payment Partner at our discretion. By processing your payments or receiving payment from Duruper (under Rewards or Referral schemes) you agree to be bound by the terms applicable to you as mandated by the Payment Partner.
9.2
When you purchase a Membership or Additional Services or pay any Fee on the Platform, you must provide us with complete and accurate payment information. By submitting payment details you confirm that you are entitled to use those payment details. If we do not receive payment authorization or any authorization is subsequently cancelled, we may immediately terminate or suspend your access to the Platform. In suspicious circumstances we may contact the issuing bank/payment provider and/or law enforcement authorities or other appropriate third parties. If you are entitled to a payment under these Terms we will make such payment to the payment method you submit to us. Payment made by us to such account that you shared with us shall be conclusive proof of our payment to you and we shall not be responsible or liable for any error in the payment details provided by you.
9.3
In case the Platform or Payment Partnerʼs webpage, that is linked to the Platform, is experiencing any server related issues like ‘slow downʼ or ‘failureʼ or ‘session timeoutʼ, the User shall, before initiating the second payment, check whether his/her bank account has been debited or not and accordingly resort to one of the following options:
9.4
In case the User bank account appears to be debited, ensure that he/ she does not make the payment twice and immediately thereafter contact Duruper at support@duruper.com. In case the Userʼs bank account is not debited, the User may initiate a fresh transaction to make payment.
9.5
User agrees that under no circumstances Duruper shall be held responsible for any fraudulent/duplicate transactions and hence no claims should be raised to Duruper. No communication received by the Duruper in this regard shall be entertained by us. Duruper assumes no liability whatsoever for any monetary or other damage suffered by the User on account of delay, failure, interruption, or corruption of any data or other information transmitted in connection with use of the payment gateway or Services in connection thereto; and/ or any interruption or errors in the operation of the payment gateway or Platform.
10. Content on the Platform
10.1
For the purpose of these Terms, “Content” includes any information, opinions, messages, data, text, logos, photographs, videos written posts, text, articles, comments, software, scripts, graphics, sounds, themes and interactive features generated, underlying source code, provided or otherwise made accessible on or through the Platform and shall include Third Party Content, User Generated Content and Duruper Content.
10.2
The Content made available on the Platform(s) shall include the Content from either of the following three categories:
- Certain information and other Content, and Links from third-party sites and service providers including Content uploaded or made available by our Partners, brought on the Platform(s) by ʼs efforts (“Third Party Content”).
- Any Content generated or uploaded by Users and aggregated on the Platform(s) including but not limited to CVs certificates, licenses, certifications, videos, audios, messages and/or opinions and/or feedbacks, reviews, comments, questions, and all information uploaded onto the Platform by Users whether during the registration process, while applying for jobs, or during the process of selecting candidates and/or while using any Services on the Platform including our chat functionality, participating or taking tests or availing services offered by or through our Partners (“User Generated Content”).
- Content made available by Duruper on its Platform(s) and owned by Duruper including the Platform itself (“Duruperʼs Content”).
10.3
You hereby acknowledge and agree that you have all rights to upload and share the User Generated Content that you upload on the Platform and that we: (i) store User Generated Content uploaded by you and other information at the direction, request and with your authorization through these Terms; (ii) act as a passive conduit for the distribution of your User Generated Content; and (iii) play no active role and give no assistance in the presentation or use of the Third-Party Content.
10.4
You are solely responsible for all of the User Generated Content that you upload, post or distribute to, on or through the Platform, and, to the extent permissible by law, we are excluded from all liability with respect to all Content (including User Generated Content) and the activities of our Users with respect thereto. By posting User Generated Content you grant to us an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, reproduce, modify, adapt, publish, translate, perform, display, communicate and distribute such User Generated Content and to prepare derivative works of, or incorporate into other works (in any form, media, or technology) such User Consent, and to grant and authorize sublicenses thereof..
10.5
With respect to the Duruperʼs Content, you shall not do, or try to do, the following, without permission from Duruper in writing:
- access or tamper with areas of the Services, our computer systems, or the systems of our technical providers;
- access or search the Services by any means other than the currently available published interfaces (e.g., APIs) that we provide;
- forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive, or false source-identifying information;
- interfere with, or disrupt, the access of any other user, host, or network, including sending a virus, overloading, flooding, spamming, mail-bombing the Services and/or Platform, or by scripting the creation of Content or accounts in such a manner as to interfere with or create an undue burden on the Services and/or the Platform;
- reproduce in whole or in part any portion of the Services and/or the Platform.
- Intentionally submit on the Platform any incomplete, fal.se or inaccurate information.
10.6
You acknowledge and accept that Duruper has the right to use the User Generated Content uploaded by you for our business or promotion of Services as set out in these Terms until you choose to delete your registered account/Membership with Duruper. Please see our Privacy Policy to understand how we use, store and process your User Generated Content.
11. User Obligations
11.1
You must not in general do the following acts while using the Platform and/or the Services (non-exhaustive list):
- Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
- Use explicit/obscene language or solicit/post sexually explicit images (actual or simulated.
- Post anything that exploits children or minors or that depicts cruelty.
- Post any copyrighted or trademarked materials without the express permission from the owner.
- Engage in any activity that interferes with or disrupts access to the Platform or our Services or the servers and networks which are connected to the Platform;
- Disrupt or interfere with the security of, or otherwise cause harm to, the Platform, systems resources, accounts, passwords, servers or networks connected to or accessible through the Platform or any affiliated or linked sites and shall not bypass any measures used by us to prevent or restrict access to the Platform;
- Collect or store data about other Users in connection with the prohibited conduct and activities set forth in this Section.
- Create User accounts by automated means or under false pretenses or mislead others as to the origins of your communications.
- Trick, defraud or mislead Duruper or other Users, especially in any attempt to learn sensitive account information such as passwords;
- Disseminate any unsolicited or unauthorized advertising, promotional materials, create or transmit unwanted electronic communications such as “spam”, ”chain letters”, “pyramid schemesʼ or any other form of such solicitation to other Users or members of the Platform or otherwise interfere with other users or membersʼ enjoyment of the Services;
- Post or upload implicitly or explicitly offensive Content, that engages in, endorses or promotes racism, bigotry, discrimination, hatred or physical harm of any kind against any group or individual; harasses, incites harassment or advocates harassment of any group or individual;
- Disseminate or transmit viruses, worms, Trojan horses, RATs, keyboard loggers, time bombs, spyware, adware, cancelbots, passive collection mechanisms (‘PCMsʼ), or any other malicious or invasive code or program or upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including, without limitation, clear graphics interchange formats (‘gifsʼ), 11 pixels, web bugs, or other similar devices;
- Use the Platform or any material or Content for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity which infringes the rights of Duruper or other third parties; and/or
- Violate any code of conduct or other guidelines or breach any applicable laws or regulations for the time being in force, which may be applicable for or to any particular Service including these Terms and/or Our other policies.
11.2
You shall also NOT
- solicit personally identifiable information from other users;
- post any jobs or any competitor or content that contain any hyperlinks, email addresses, ‘hiddenʼ keywords;
- post or submit to any incomplete, false or inaccurate biographical information or information which is not your own;
- attempt to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up part of the Platform;
- insert any personal URL, weblink, email address etc., while posting any job;
- gain or attempt to gain unauthorized access (inter alia by hacking, password ‘miningʼ or any other means) to any portion or feature of the Platform or any of the services or products offered on or through the Platform which are not intended for you;
- modify the services provided through the Platform or their appearance using any technology or overlay any additional offering on top of such services or simulate the Platform services or its functions in any manner whatsoever without the explicit consent obtained in writing from us;
- use or attempt to use any automated program, software or system or any similar or equivalent process (including spiders, robots, crawlers, etc.) to access, navigate, search, copy, monitor, download, scrape, crawl or otherwise extract in any manner, any data content including but not limited to adding or downloading profiles, contact details or sent or redirect messages from the Platform;
- scrape, download, replicate or otherwise extract any information or data from the Platform (by any process, whether automatic or manual) to offer any products or services which are similar to or may in any manner compete with the products or services of the Duruper;
- circumvent or attempt to circumvent any service limits including but not limited to resume download limits;
- impersonate any other person or entity, or make any misrepresentation as to your employment by or affiliation with any person or entity;
- forge headers or in any manner manipulate identifiers in order to disguise the origin of any user information;
- impose an unreasonable or disproportionate large load on the Platform infrastructure; and/or
- engage in ‘framingʼ, ‘mirroringʼ or otherwise simulating the appearance of function of the Platform (or any part thereof) or providing deep links into the Platform (or any part thereof) without prior permission of Duruper.
11.3
If you are in violation of your obligations as set out in this section above or such other term or condition as may be applicable to you, Duruper reserves the right to take such action as may be available to us in law or equity including but not limited our right to terminate or suspend your account as set out in detail in Termination section below.
12. Intellectual Property Rights
12.1
“IPR” as used in these Terms, shall mean intellectual property rights whether registered or unregistered including all
- copyrights which shall include the exclusive right to make and distribute copies of, display and perform the copyrighted work and to prepare works derived from the original copyrighted work), software and source codes
- trademark rights,
- patent rights,
- trade names or business names,
- design rights,
- mask-work rights, trade secrets, moral rights,
- authorʼs rights,
- rights in packaging,
- goodwill and
- other intellectual property rights, and all renewals and extension thereof and all rights or forms of protection of a similar nature or having an equivalent or similar effect to any of the above, which may subsist anywhere in the world, regardless of whether any of such rights arise under the laws of India or any other state, country or jurisdiction.
12.2
Duruper reserves all rights (including IPR) in the Platformʼs look and feel. Duruper hereby authorizes you, subject to these Terms, to view the Duruper Content (and other Content to the extent the same are made available based on the privileges available to you) as per these Terms. The content on the Platform, such as designs, text, graphics, images, video, information, logos, button icons, software, audio files and other Duruper Content, are protected under copyright, trademark and other applicable laws in India. All Duruper Content is the property of Duruper and/or its licensors. This Platform is designed, updated and maintained by us and/or our licensors.
12.3
We own and have the right to use all IPR to and in the trademark ‘Duruperʼ, and the Platform(s) and its Services.
12.4
Access to this Platform does not confer and shall not be considered as conferring upon anyone, any license under any of our or any third partyʼs IPR. You shall not copy, store, modify, publish, transmit, transfer, sell, reproduce, create derivative work from, distribute, repost, perform, display or in any way exploit any of the content available on the Platform either in whole or in part. Any use of this Platform or its Contents, including, copying or storing it or them in whole or part, other than for your own personal, non-commercial use is strictly prohibited without our prior express permission. You may not modify, distribute or re-post anything on this Platform for any purpose.
12.5
Database rights (meaning the rights to the compilation of the content aggregated on the Platform including the collection, arrangement and assembly of the same) and all other applicable IPR in the database of resumes, job listings, information relating to jobs uploaded on the Platform by Employers and Members belong to Duruper.
12.6
Unauthorized use of the Duruper Content is strictly prohibited. You may not sell or modify the Duruper Content or reproduce, display, distribute, or otherwise use the Duruper Content in any way for any public or commercial purpose, in connection with products or services that are not those of Duruper, in any other manner that is likely to cause confusion among consumers or that otherwise infringes Duruperʼs IPR.
12.7
Any code that Duruper creates to generate or display any Duruper Content or the pages making up the Platform is also protected by our copyright and you may not copy or adapt such code. Some parts of the Platform(s) are licensed under third-party open source licenses. We also make some of our own code available under open-source licenses, and you shall not copy or adapt our code or visual design elements (including logos) without express written permission from Duruper.
12.8
We play a passive role in providing you with the Platform and the Services where you may access and transmit Content. We do not warrant or endorse, and will not have any liability or responsibility for, any Third Party Content or User Generated Content on the Platform. You agree that you will not use any Content, in a manner that would infringe or violate the IPR of any party and that we are not in any way responsible for any such use by you.
12.9
It is hereby clarified that we are not responsible for screening or verifying any Third-Party Content or User Generated Content on the Platform and such Content are that of such third party/User alone and are available on the Platform on an as-is, where-is basis and Duruper has neither created nor modified such Third Party Content / User Generated Content nor does claim any IPR, ownership or any other right to such Content other than a limited license to provide an access to such Content to Users on the Platform. Duruper shall not be liable or responsible for any Third Party Content or User Generated Content which is outdated, incomplete, factually incorrect, illegal, obscene, threatening, defamatory, invasive of privacy, or infringes any IPR, proprietary, or other rights of any person or entity or is otherwise injurious to third parties or objectionable in any manner. However, we reserve the right to review and remove or disable access to any such third-party Content on our Platform for any reason including infringement.
12.10
The ownership in all Third Party Content or User Generated Content that are accessible via the Platform, belongs to such third party or to the User (or their licensors, assignors as the case may be) and their availability on the Platform does not in any manner affect the rights of the concerned third parties/ Users to such Third Party Content / User Generated Content including but not limited to all IPR in such Third Party Content / User Generated Content; and their right to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, restrict accessibility to, adapt, edit or create derivative works from such Third Party Content / User Generated Content.
12.11
Use of any Content and materials for any purpose not expressly permitted in these Terms is prohibited.
12.12
We are not liable for any infringement of IPR arising out of Content including Third Party Content and/or User Generated Content, posted on or transmitted through the Platform, or items advertised on the Platforms, by any Users of our Platform. However, if You as a third party or User believes that your rights to any Third Party Content or User Generated Content uploaded on the Platform have been infringed, kindly report such infringement to us immediately at support@duruper.com and we shall attempt to (without being obligated to do so) look into this and take necessary action at the earliest.
13. Disclaimers
13.1
Transmission of information over the Internet is not completely secure and we cannot, therefore, guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal data for improper purposes. You acknowledge that you provide your personal data at your own risk. Any actual or attempted use of the Services by you in violation of this Terms may result in criminal and/or civil prosecution, including, without limitation, punishment under the Information Technology Act, (as amended by the Information Technology Amendment Act, 2008) read with the Information Technology Reasonable Security Practices and Procedures And Sensitive Personal Data Or Information] Rules, 2011 SPDI Rules). Duruper reserves the right in its sole discretion to review, monitor, and/or record any information relating to your use of the Services without any prior notice to or permission from you, including, without limitation, by archiving content and/or communications submitted to and/or sent by you through the Services.
13.2
You accept the Content on the Platform on an ‘as isʼ and ‘as availableʼ basis without any warranties of any kind express or implied. To the extent that you make any reliance upon the Content from this Platform, you do so at your own risk.
13.3
Our Services and information provided on the Platform by us and/or third parties are intended to assist in the recruitment process. We specifically disclaim their suitability to your requirement or prospects of your success in any particular case. You should obtain independent verification before relying on information provided on or through the Platform.
13.4
We are not liable to you or any third party for any omissions, errors, inaccuracies, delays, failures, interruptions, viruses, defects, deletions, failure in networks or communications lines, destruction, theft or unauthorized access to your network, system or computer.
13.5
We assume no liability whatsoever for any monetary or other damage suffered by you on account of the delay, failure, interruption, or corruption of any data or other information transmitted in connection with use of the Platform or our Services; and/or any interruption or errors in the operation of the Platform; and/or your reliance of Content on the Platform without independent verification.
13.6
You shall accept sole responsibility for, and we shall not be liable for, any use of the Services by you or any other third-party and you shall hold Duruper harmless and fully indemnified against any claims, costs, damages, loss and liabilities arising out of such use.
13.7
The Services are provided by us without warranties of any kind, whether express or implied or statutory or otherwise including, but not limited to, implied warranties of merchantability or fitness for a particular purpose. Without limiting the foregoing, we do not warrant that the Services or any part thereof will meet your requirements or that the Services or any part thereof will be available at any particular time or location, uninterrupted or secure.
13.8
Duruper makes no representations or guarantees regarding the truthfulness, accuracy, legality, completeness, timeliness or reliability of any documents posted by Users, or of any other form of communication engaged in by Users. Documents may contain inaccuracies or typographical errors. You agree that any reliance on documents posted by Users, or on any other form of communication with Users, will be at your own risk.
13.9
Duruper makes no representations or guarantees regarding the Content of the Platform, websites, including, but not limited to, broken links, inaccuracies or typographical errors.
13.10
Duruper makes no representations or guarantees regarding the effectiveness of the services or timeliness of the services in meeting your employment objectives. We do not guarantee that the services will result in candidates being hired, positions being filled or employees being retained, and is not responsible or liable for any business, employment, hiring and/or salary decisions, for whatever reason made, made by you.
13.11
Duruper would not be held liable for loss of any data technical or otherwise, and particulars supplied by Users due to reasons beyond our control like corruption of data or delay or failure to perform as a result of any causes or conditions that are beyond reasonable control including but not limited to strikes, riots, civil unrest, government policies, tampering of data by unauthorized persons like hackers, war and natural calamities.
13.12
Duruper shall not be liable for any kind of workplace harassment by an employer to employee.
14. Indemnity
14.1
To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless Duruper and its subsidiaries, and their respective directors, officers, board members, employees, agents, successors and assigns, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to all legal fees and expenses) arising from: (i) your use of and access to the Services, including any data or content transmitted or received by you; (ii) your violation of any Terms and any other agreement that you have with Duruper , including without limitation your breach of any of the representations and warranties herein; (iii) your violation of any third-party rights, including without limitation any right of privacy or Intellectual Property Rights; (iv) your violation of any applicable laws, rule or regulation, including, without limitation, to any applicable data protection laws, email marketing, or telemarketing laws (including any email, phone call or text message you send or make to another User; (v) any claims or damages that arise as a result of your User Generated Content; (vi) any other party's access and use of the Services with your account or log-in information; and/or (vii) your intentional or wilful misconduct, or negligence.
15. Limitation of liability
15.1
You assume all responsibility and risk for your use of the Platform, the internet generally, and User Generated Content. Duruper is not to be considered an employer with respect to the Services of the Platform and we shall not be responsible for any employment decisions, for whatever reason, made by any entity posting jobs on the Platform.
15.2
To the fullest extent possible by law, we will not be held responsible and expressly disclaim any liability whatsoever for any claims, demands or damages, direct or indirect, of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with Services, including payment for Services provided by a third party even if such Services are the result of you meeting any third-party through the Platform. We are not responsible for any damages, injury or economic loss arising from the use of Services provided by us. This is a comprehensive limitation of liability that applies to all damages of any kind, including but not limited to direct, indirect, incidental, punitive, special, incidental, consequential or exemplary damages, damages for loss of profits, goodwill, use, data or other intangible losses, whether in tort or contract or under any applicable law and shall apply to the maximum extent permitted by applicable law.
16. Termination/Suspension of your account with Duruper
16.1
You may at any time deactivate your accounts/Membership and discontinue your use of the Platform and the services offered.
16.2
We also have the right to terminate or suspend your account and/or restrict or suspend your access to the Platform or any part thereof, at our sole discretion, without giving any notice or reasons thereof. We may require you to change your password if we reasonably believe that your account has been or are likely to be misused, and we will notify you accordingly. You agree that we may access, preserve, suspend or delete your account, information and access to the Platform and disclose relevant information, if required to do so by law or if we genuinely believe that such action is reasonably necessary. We also have the right to immediately delete account(s) and/or initiate legal proceedings under applicable laws, against Users for fraudulent use of the Platform and any other unlawful acts or omissions in breach of these Terms. Even if we suspend or terminate your account with us, you will still be liable to us, for any act of yours before such suspension or termination.
16.3
You understand and acknowledge that you have no ownership rights in your account and that if you cancel your account or if your account is terminated, all your account information from Duruper, including resumes, profiles, network contacts, cover letters, saved jobs, questionnaires, email mailing lists etc. will be marked as deleted. Information may continue to be available for some period of time because of delays in propagating such deletion through our web servers or for specific purposes as indicated in our Privacy Policy. Please also note that third parties may have retained saved copies of your information you shared, for which Duruper disclaims any and all liability.
17. Confidentiality
17.1
Pursuant to your use of the Services, you may receive information or be exposed to features and functionality that are not known or available to the general public, including but limited to login credentials, technology, API keys, dashboards, widgets, insertion codes, salary data and salary data displays and guidelines and documentation relating to Services (“Confidential Information”). You agree to keep the Confidential Information confidential. You further confirm and agree that : 1) all Confidential Information will remain the exclusive property of Duruper; 2) all Confidential Information used, with permission from Duruper, shall be used only as is necessary for availing the Services in accordance with applicable privacy and data protection laws; 2) in case of an Employer, you will not disclose the names or identities or share the profile of any User to any third parties or outside of your recruiting or hiring department; and 3) you will take appropriate physical, technical and administrative measures to protect the Content you obtain from Duruper against loss, misuse, unauthorized access, disclosure, alteration, removal or destruction.
18. Governing law and Dispute Resolution
18.1
Our rights and obligations pursuant to these Terms are governed and interpreted by, and shall be construed in accordance with, the laws of India and any disputes pertaining to the Platform, our Services and these Terms shall be subject the exclusive jurisdiction of the courts in Bengaluru, India. You waive your right to institute legal proceedings in any other jurisdiction. However, we shall be entitled to institute legal proceedings in connection with any matter arising under these Terms in any jurisdiction where you reside, do business or have assets.
19. Miscellaneous
19.1
Nothing in this Agreement shall be construed as making either party the partner, joint venturer, employer, contractor or employee of the other. Neither party shall have or hold itself out to any third party as having any authority to make any statements, representations or commitments of any kind, or to take any action, that shall be binding on the other, except as provided for herein or authorized in writing by the party to be bound. Except as set out in these Terms, only you and Duruper may enforce this Agreement as this contract is between you and Duruper; no other party shall be entitled to enforce the Terms of this agreement.
19.2
Any waiver of any provision of this Agreement will be effective only if in writing and signed by Duruper. No failure by Duruper to exercise, or to delay in exercising, any rights hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right hereunder by precluding any other or future exercise of that right or any other right hereunder by Duruper.
19.3
If any provision of these Terms is held invalid or unenforceable in whole or in part by a court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other provision and all other provisions of these Terms shall continue to be in full force and effect.
19.4
Notice shall be deemed to be given under these Terms, 12 hours after an e-mail bearing such notice is sent to the e-mail address of the party to whom such notice is sent unless the sending party is notified that the e-mail address is invalid. Alternatively, notice may be given by certified mail, postage prepaid to the address available with the other party, which shall be effective upon transmission.
19.5
By using the Platform and/or the Services, you consent to receive electronic communications from Duruper. These electronic communications may include information about Duruperʼs Services and features of the Platform, notices about applicable fees and charges, transactional information and other information concerning or related to the Platform and/or Services. These electronic communications are part of your relationship with Duruper. You agree that any notices, agreements, disclosures or other communications that we send you electronically will satisfy any legal communication requirements, including that such communications be in writing.

21. Specific terms applicable to Employers
21.1
In addition to the general Terms and conditions above, in case you are an Employer, you shall be deemed to have agreed and accepted and shall be bounded by the following specific terms applicable to Employer. In case Employer violates these Terms, then Duruper at its discretion may suspend its Service to the Employer without any refund and may also take such action as it may be advised.
- Service, as used in these Terms, in reference to the Employer refers to job posting, resume search services and other additional services, as applicable and specified by the Employer from time to time in writing.
- Duruper may change the Services and features from time to time, at its sole discretion. Duruper will provide the Services to Employer pursuant to its standard, policies and procedures then in effect.
- Service provided by Duruper is neither re-saleable nor transferable by the Employer to any other person, corporate body, firm or individual concern.
- Employer Representatives shall not use the Platform and the Resume Database and information/profiles of Candidates for any purpose other than for recruitment to the Employer entity you are working with.
- In the event Employee Representative exits from Employer organisation, Employer shall intimate Duruper to effect removal of such Employer Representative details from the Employer profile, to deactivate such Employer Representativeʼs access to the Employer profile and substitution of any other person authorized by the Employer as the new Employer Representative.
- You shall comply with all applicable data protection laws in relation to the processing of personal data; and not process personal data in an unlawful manner and excessively with regard to agreed purposes as defined in the Privacy Policy and these Terms. You shall not share personal information and data shared with you by Candidates or other Users with any other entity or individual without prior permission from the owner of such personal information and data.
- You shall ensure that controls are made at your end/your Employer entityʼs end to protect the User Generated Content obtained from the Platform against unauthorised or unlawful processing and against accidental loss, destruction, damage, alteration or disclosure.
- You acknowledge that you shall solely be responsible for complying with requests related to holding and processing of Content from Candidates available with you through the Platform.
- You shall comply with the Privacy Policy while processing and using personal information and data shared by Candidates or other Users.
- Duruper offers no guarantee or warranties that there would be a satisfactory response or any response for the Job Posting uploaded on the Platform.
- Duruper does not make any representations regarding the accuracy or validity of User Generated Content. Duruper shall in no way be held liable for any information received by the Employer through the Platform and it shall be the sole responsibility of the Employer to check, authenticate and verify the information/response received at its own cost and expense.
- You shall not send emails or text messages or make phone calls to Users/Candidates without the confirmation of Duruper or which in the opinion of is excessive or unrelated to the Services offered by, irrelevant to the work history or unlikely to be of interest to the User.
- You shall not make unsolicited phone calls send unsolicited mail, email, or newsletters to Users or contact any User unless they have agreed to be contacted (where consent is required or, if express consent is not required, who has specifically informed you that they do not want to be contacted). You shall also not use the Platform to source candidates or Users for career fairs and business opportunities that are prohibited by these Terms.
- You are not allowed to post Job Posting directly on the Platform. You may share the Job Description with Duru Recruiters, who shall, after scrutiny and review of the Job Description, upload the Job Postings on the Platform.
- By sharing a Job Description with Duruper, you confirm that you have obtained all licenses/permits as are necessary for recruitment and to indemnify Duruper against all losses, claims, damages arising out of actions/claims that may be made in relation to the same.
- Duruper has the right to make all such modifications/editing of the Job Description to create a Job Posting on the Platform, upon taking confirmation of such Job Posting.
- A Job Description shall not contain (i) inaccurate, false, or misleading information any hyperlinks, other than those specifically authorized by Duruper; (ii) misleading, unreadable, or ‘hiddenʼ keywords, repeated keywords or keywords that are irrelevant to the job opportunity; and/or (iii) the names, logos or trademarks of unaffiliated companies other than those of your own save where expressly agreed by Duruper.
- You may not use the Platform to: (i) use the Database for any purpose other than seeking suitable employees; (ii) charge a fee from any person who is contacted through Duruper for processing of placement for such person; (iii) request for Job Postings with Job Descriptions in a manner that comply with applicable local, national and international laws, including but not limited to laws relating to labour and employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property; (iv) include links in Job Description of advertisements if competitors of Duruper or other content that contains links to any site competitive with Duruper; and/or (v) share Job Description located in countries subject to economic sanctions in compliance with the laws of respective State jurisdiction.
- Duruper reserves its right to change the look, feel, design, prominence, of the sections related to Job Postings of the Platform at any time without assigning any reason and without giving any notice.
- Duruper cannot guarantee the identity of the Candidate and the accuracy of Personal Data provided by the Candidate.
- Duruper assumes no responsibility or liability for any Candidates selected by the Employer. Final selection, recruitment, retention or hiring of any Candidate is solely based on Employer discretion, investigation, verification and determination that such Candidate is suitable for - the purposes of the Employer entity.
- Duruper shall not be liable to Employers, in the event that any of the recruited Candidate exits the Employer entity for any reason whatsoever before or after the probation period of the Employer or if the Employer terminates the Candidate for any reason whatsoever.
- The Employer must comply with these Terms and obligations of users.
- Employer Representativeʼs use and access of the Platform shall be in accordance with these Terms and Employer shall be liable for any and all breach of these Terms by the Employer Representatives.
